Datuk Jasnih Bin Daya was appointed as a Non-Independent Non-Executive Director on 16 June 2023 and was subsequently redesignated as Chairman of the Company on 5 February 2026. He graduated with a Bachelor of Science in Economics from Indiana State University, Terre Haute, Indiana, USA in 1999.

He has served with the Sabah State Government since 2000 and has held various positions in both the public and corporate sectors. Among the roles he held were Executive of Import & Trade covering China, Vietnam, Myanmar, India and Pakistan (2000-2002); Executive of the East Malaysia Rice Business Sector (Sabah & Sarawak) (2002-2003); Assistant Manager and Head of Shipping and Claims Unit (Import & Trading) at the Headquarters in Kuala Lumpur (2003-2004); and Procurement Officer for Myanmar Special Projects under the BERNAS Special International Project (2004-2007). He also served as Manager of the Operational Division of BERNAS Corporation Sdn Bhd, Sabah (2006-2008) and was President of the BERNAS Sabah Club (2010-2013).

He subsequently served as a Member of the Board of Directors of the Housing and Urban Development Board (2015-2017) and as Regional Head of BERNAS Corporation Sabah (2017-2020). He was appointed State Assistant Minister to the Ministry of Finance, Sabah from 2018 to 2022. He currently serves as Executive Chairman of Innoprise Corporation Sdn Bhd and has been the Sabah State Assemblyman for N.13 Pantai Dalit since 2020.

He does not have any family relationship with any of the Directors and/or substantial shareholders of the Company.

He has had no directorship in any other public listed company. Other than the deemed interest as disclosed in the Circular to Shareholders on recurrent related party transactions, he does not have any conflict of interest or potential conflict of interest, including any interest in any competing business with the Company or its subsidiaries. Managing Director

Kelvin is the Managing Director of Innoprise Plantations Berhad, appointed to the Board on 1 January 2026. He is also the Chairman and Co-Founder of TSH Resources Berhad and serves on the boards of several private companies.

With over four decades of hands-on leadership in agribusiness, Kelvin began his entrepreneurial journey in 1977 with a cocoa trading business in Perak, later developing an integrated cocoa operation in Sabah. In the 1990s, he extended this integrated model to oil palm, establishing plantations and mills in Sabah and strengthening downstream partnerships. He led TSH’s expansion into Indonesia in 2003, building a regional, integrated palm oil platform. Under his leadership, TSH was listed on Bursa Malaysia (Second Board in 1994; Main Board in 2000) and achieved a secondary listing on the Singapore Exchange in 2023.

Kelvin is deeply committed to sustainability, having led initiatives in biomass cogeneration, downstream refining partnerships, and biodiversity conservation in Sabah’s Meliau Range. He has also contributed to public and educational institutions, including Universiti Malaysia Sabah and Sabah Chinese High School.

Dato’ Sri Haji Gulamhaidar @ Yusof Bin Khan Bahadar, J.P. was appointed as a Non-Independent Non-Executive Director of the Company on 13 January 2021. He serves as a member of the Audit Committee and Nomination Committee. He graduated with a Bachelor of Human Resource Management (Honours) from the University of Florida, USA. He also holds a Master of Business Administration (Human Resource Management) from Berkeley International University of California, USA, and a Professional Master Analyst in Political Science from Open University Malaysia.

He has served with the Sabah State Government since 1995 and has held various senior positions, including Confidential Secretary to the Minister of Land and Cooperative Development Malaysia, State of Sabah (1995-1998); Chief Assistant Secretary of Public Relations to the Deputy Chief Minister of Sabah and Minister of Finance Sabah (1998-1999); and Political Secretary to the Chief Minister of Sabah (1999-2003). He also served as Chairman of Innovation Papua New Guinea Ltd, a subsidiary of Innoprise Corporation Sdn Bhd. (2004-2008). He was appointed Assistant Minister of Local Government and Housing Sabah from 2008 to 2013 and subsequently served as Assistant Minister of Infrastructure Development Sabah from 2013 to 2018. He currently serves as a Director of Yayasan Sabah and as a member of the Board of Directors of Innoprise Corporation Sdn. Bhd. In 2026, he was appointed Chairman of Benta Wawasan Sdn Bhd. He has also been the Sabah State Assemblyman for N.28 Kawang since 2004.

Independent Non-Executive Director

Datuk Hajah Mary @ Mariati Robert was appointed to the Board on 27 June 2023 as an Independent Non-Executive Director. She currently serves as Chairman of the Nomination Committee and is a member of the Audit Committee, Remuneration Committee and Risk Management Committee.

She graduated with a law degree from the University of Malaya in 1977 and was attached to the Attorney General’s Chambers, where she served as a Deputy Public Prosecutor and Assistant Director of the Legal Aid Bureau (Sabah Branch). She set up her own practice in 1991 and in 2013, she became the second women after 46 years to be appointed as Sabah’s Attorney General, marking a significant milestone for both herself and the State of Sabah.

Prior to serving as Sabah’s Attorney General, she was an Independent Non-Executive Director of the Company from 1996 to 2014, during which she also served as a member of the Audit Committee and Nomination Committee. Datuk Hajah Mary has been actively involved in various organisations promoting women’s empowerment at the state level. From 2012 to 2016, she served as Chairman of the Sabah Women’s Advisory Council, which was established to encourage and enhance women’s participation in the socio-economic development of the state. She has also been actively involved in community initiatives, including programmes under the Kota Kinabalu Mosque Women’s Syukbah and economic leadership programmes for rural women.

In recognition of her contributions to women’s empowerment, she was awarded the State-level Maulidur Rasul Award in 2019. She previously served as an Independent Non-Executive Director of Handal Energy Berhad (formerly known as Handal Resources Berhad) from 2021 to 2023, where she was also a member of the Audit Committee and Risk Management Committee. She currently serves as a member of the Board of Directors of the Institute for Development Studies (Sabah) that promote and develop research-based decision-making processes in government regarding policy formulation and implementation.

Lim Ted Hing was appointed as an Independent Non-executive Director of Innoprise Plantations Berhad on 14 August 2019. He serves as Chairman of the Audit Committee, Remuneration Committee and Risk Management Committee and serves as a member of the Nomination Committee.

He is a member of the Malaysian Institute of Accountants and a Fellow of the Institute of Chartered Accountants in England and Wales (“ICAEW”). He obtained his Fundamentals of Accounting from the North East London Polytechnic in 1977. Upon completion, he joined Malvern & Co., a firm of chartered accountants based in London, as an Articled Clerk during which he completed the ICAEW professional examinations in 1983. He joined Ernst & Young in 1985 and was the Senior Manager of its office in Sandakan prior to joining Syarikat Tekala Sdn. Bhd. in 1994 as the Group Financial Controller. Later in June 1996, he was appointed as an Executive Director/Chief Operating Officer of Tekala Corporation Berhad (“Tekala”), a company listed on the Main Market of Bursa Malaysia, and its subsidiaries. In January 2013, he was appointed as the Group Managing Director/Chief Executive Officer of Tekala. In July 2017, WMG Holdings Bhd. (“WMG”) reverse took over Tekala and assumed its listing status. He was an Exco Chairman/Executive Director of WMG Group from 5 September 2017 to 2 December 2024. Other than his business interest in several other private companies, he was a Non-Independent Non-Executive Director of NPC Resources Berhad from 25 February 2002 to 31st July 2025.

Ong Chu Yaw was appointed as an Executive Director of Innoprise Plantations Berhad on 15 August 2025. Currently, he also serves as a member of Remuneration Committee and Risk Management Committee.

He holds a Bachelor of Technology in Environmental Engineering and is the founder of a civil construction company established in 1997. The company has been primarily engaged in infrastructure and road construction projects for key government agencies, including the Ministry of Works, Ministry of Rural Development, and the Ministry of Youth and Sports.

In 2010, his company achieved CIDB G7 status – the highest accreditation awarded by the Construction Industry Development Board of Malaysia – signifying excellence in capability, experience, and workmanship.

He was appointed as a director of several subsidiaries within the TSH Resources Berhad Group and also holds directorships in various other private limited companies.

He does not have any family relationship with any of the Directors and/or substantial shareholders of the Company.

Alternate Director to Ong Chu Yaw

Lim Fook Hin was appointed as an Alternate Director to Ong Chu Yaw on 15 August 2025.

He is a member of the Malaysian Institute of Certified Public Accountants. After qualifying as a member of the Institute of Chartered Accountants in England and Wales, he joined Coopers & Lybrand as an Audit Senior in 1976 and was transferred to Coopers’ management consultancy services in 1977. He joined the Commonwealth Development Corporation (“CDC”) in 1978 and was seconded to Sarawak Oil Palm Sdn. Bhd. as Company Secretary.

He was transferred to BAL Plantation Sdn. Bhd. in 1981 as Financial Controller until 1993. His main responsibility included financial management, merger and acquisition and commodity marketing. He was again transferred by CDC to assume the position of the Chief Executive of United Palm Oil Industries PLC, a company listed on the Stock Exchange of Thailand before joining TSH in 1997.

He was appointed as an Executive Director of TSH on 9 May 1997. On 1 February 2016, he was re-designated as a Non-Independent Non-Executive Director. He also sits on the board of some of the subsidiaries of the TSH Group and holds directorship in other private limited companies.
